1.    Terms.  While using the Web site services and/or are a Member; this Agreement will remain in full force and effect. You are free to cancel your membership at any time you wish, for any reason by following the instructions stated on the Cancel Account page in "Account Settings".  Veedback reserves the right to terminate your membership at any time, for any reason, without noticing you.  This Agreement will still remain in full effect even after your membership has been terminated.

2.    User Name and Password.  As part of the registration process, you will be asked to select a username and password and you will be responsible for all activities occurring under your username and for keeping your password secure. You are solely responsible for any and all use of your account.   We may refuse to grant you a username that impersonates someone else, is or may be protected by trademark or proprietary rights law, or is vulgar, offensive or otherwise inappropriate, as determined by us in our sole discretion.  

3.    Non-Commercial Use.  The Veedback Service is made available for your personal, non-commercial use only. 

4.    Legal Uses Only.  You may not use the Veedback Service for any illegal or unauthorized purpose.  Illegal and/or unauthorized uses of the Veedback Web site may include, but not limit to, collection of usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Web site is prohibited.  Appropriate legal action will be taken, including without limitation, criminal, civil and injunctive redress, for any illegal or unauthorized uses of the Web site and Services.

5.    Proprietary Rights in Content on the Web site.   Veedback owns and retains all proprietary rights in the Veedback Web Site and its Service, except for that information which is in the public domain or for which you have been given a written permission.  By submitting, posting or displaying any Content or Materials on or through the Veedback service, you automatically grant to us a worldwide, non-exclusive, royalty-free, and right to publicly display or re-display such Materials in other formats not simply limited to websites. You do not have the right to copy, publish, modify, transmit, perform, display, distribute or sell any proprietary information, which includes the sum of all postings and images or photos, on the Veedback Web site. The Veedback Web Site contains the copyrighted material, trademarks, and other proprietary information of Veedback, and its licensors.

6.    Member Content Posted on the Web site.  You understand and agree that Veedback reserves the right to review, edit, and remove any content, photos, messages, veedback entries, comments, compliments, or profiles (collectively, "Content") that are in the Veedback Web site.  You are solely responsible for the Content that you display or publish (hereinafter, "post") on the Service Web Site, or transmit to other Veedback Members.  Veedback assumes no responsibility for monitoring the Services for inappropriate Content or conduct.  Veedback does not endorse and has no control over the Content. Content is not necessarily reviewed by Veedback prior to posting and does not necessarily reflect the opinions or policies of Veedback.  Veedback makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.

The following below is a partial list of the kind of Content that are considered illegal or prohibited on the Veedback Web Site. Veedback reserves the right to investigate fully and take any appropriate legal action in its sole discretion against anyone who violates this provision; including without limitation, removal of the offending communication from the Service and automatically terminating the membership of such violators.  Prohibited Content includes, but not limited to, Content that:

• displays any form of pornographic or sexually explicit material of any kind;
• display any form of deliberately offensive content that promotes bigotry, racism, hatred or physical harm of any kind against any group or individual;
• promotes information that you are aware is false, or misleading or conduct that is threatening, abusive, obscene, libelous or defamatory;
• defames, abuses, harasses, stalks, threatens or otherwise violates the rights (such as rights of privacy and publicity) of others;
• attempts to impersonate another Member;
• provides material that exploits persons under the age of eighteen in a violent or sexual manner, or solicits the personal information from anyone under eighteen;
• solicits personal identifying information for commercial or unlawful purposes from other users or passwords;
• disseminates any unsolicited or unauthorized advertising, promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', or any other form of such solicitation;
• promotes illegal substances or activities, including, but not limited to, underage drinking or smoking, substance abuse, weapon use,  gang affiliation, child pornography, fraud, trafficking in obscene material, drug dealing, buying or making illegal weapons, gambling, harassment, stalking, spamming, providing, creating or sending any computer viruses or other harmful files, copyright infringement, patent infringement, trademark infringement, or theft of trade secrets;
• promotes any illegal or unauthorized copy of someone else's copyrighted or trademarked work, such as providing pirated music or links to pirated music files, providing pirated computer programs or links to them ,or providing information to circumvent manufacture-installed copy-protect devices;
• contains Materials of any third party without such third party's prior written consent, or Materials that falsely express or imply that such Materials are sponsored or endorsed by Veedback;
• engages in commercial activities and/or sales without any prior written consent from us; such as: sweepstakes, contests, and sweepstakes, advertising, barter and pyramid schemes; 
• transmits, emails or posts any material that contains in any form of software viruses or such programs as including but not limited to, Trojan horses, worms, time bombs, cancel-bots, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; 
• attempts to gain unauthorized access to the Veedback Service, other accounts, computer systems or networks connected to the Veedback Service, through password mining or any other means. 

8.    Member Disputes.  Interaction between Veedback Members is your sole responsibility. Veedback reserves the right, but has no obligation, to monitor disputes between you and any other Members.  

9.    Privacy.  Our Privacy Policy also governs by our Privacy Policy. 

10.  Disclaimers.  Veedback is not responsible for any inaccurate or incorrect Content posted on the Web site or in connection with the Service; whether caused by users of the members or users of the Web site, or by any of the equipment or programming utilized or is associated in the Service.  Veedback assumes no responsibility for any interruption, omission, error, delay in operation, deletion, defect, communications line failure, destruction, theft or unauthorized access to, or alteration of any user or Members communications. Veedback is not responsible for the conduct, whether online or offline, of any user of the Veedback Web site or Member of the Service.  Veedback assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications.  Veedback is not responsible for any technical malfunctions or problems of any telephone network or lines, computer online systems, computer equipment, servers or providers, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including damage or injury to users and/or Veedback Members or to anyone's computer related to or resulting from downloading material or participating in connection with the Web and/or in connection with the Veedback Service. Under no circumstances will Veedback be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Veedback Web site or the Service, any Content posted on the Web site or transmitted to Members, or any interactions between users of the Web site, whether online or offline. The service may not be available temporarily from time to time for maintenance purposes or other reasons. No advice or information, whether written or oral, obtained by Veedback users or through or from the service itself shall create any warranty not expressly stated herein. THE WEB SITE, THE SERVICE AND THE CONTENT ARE PROVIDED "AS-IS" AND THE COMPANY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THE COMPANY CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE WEB SITE AND/OR THE SERVICE. 

11.  Copyright Policy.  You may not post, reproduce, or distribute in any way any copyrighted material, trademarks, or other proprietary information of Veedback without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please contact us at veedback@veedback.com and provide us with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the Web site; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

12.  Limitation on Liability.  Except in jurisdictions where such provisions are restricted, in no event will Veedback be liable to you or any third person for any exemplary, indirect, consequential, incidental, special or punitive damages, including also any lost profits arising from your use of the Veedback Web site or the Services, even if Veedback has been advised of the possibility of such form of damages. Notwithstanding anything to the contrary contained herein, the Company's liability to you for whatsoever cause, and regardless of the form of the action, will at all times be limited to the amount that is paid, if any, by you as a member to Veedback for the Service during the term of the membership. 

13.  Indemnity.  You agree to indemnify and hold Veedback, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorney's fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party due to or arising out of your use of the Service or the Web site in violation of this Agreement or your violation of any law or the rights of a third party. 

14.  Other.  This Agreement, accepted upon use of the Veedback Web site and further affirmed by becoming a registered Member of the Service, contains the entire agreement between you and Veedback regarding the use of the Web site and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The failure of Veedback to enforce or exercise any right or provision of these stated Terms of Service shall not constitute a waiver of such right or provision. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect.
